1. Acceptance of Terms

By accessing or using the website operated by Apex Firearms, LLC ("Apex Firearms," "we," "us," or "our") at apexfirearmsusa.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Site. We reserve the right to modify these Terms at any time, and your continued use of the Site constitutes acceptance of any changes.

2. Age Requirements & Eligibility

• Handguns & Handgun Ammunition: You must be at least 21 years of age
• Rifles, Shotguns & Long Gun Ammunition: You must be at least 18 years of age
• Accessories & Non-Firearm Products: You must be at least 18 years of age

These requirements are mandated by federal law (18 U.S.C. § 922(b)(1)) and Texas state law. By using this Site and placing an order, you represent and warrant that you meet the applicable age requirements and are not otherwise prohibited from purchasing, possessing, or receiving firearms under federal, state, or local law.

3. Nature of Online Orders — Reservations, Not Direct Sales

Important: Placing an order on this Site constitutes a reservation, not a completed sale. All firearm transactions are conditional and subject to:

• Successful completion of a NICS background check (ATF Form 4473)
• Valid government-issued photo identification
• Compliance with all applicable federal, state, and local laws
• In-person pickup at our location: 650 Canary Street, Rose City, TX 77662

We reserve the right to refuse or cancel any order or reservation at our sole discretion, including but not limited to cases where a background check is denied or delayed, if we suspect fraudulent activity, or if the buyer is otherwise ineligible to purchase.

4. Pricing & Availability

• All prices displayed on the Site are in U.S. dollars and are subject to change without notice
• Prices do not include applicable sales tax (currently 8.25% in our jurisdiction)
• Product availability is subject to change and is not guaranteed until the transaction is finalized in-store
• We make every effort to display accurate product information, but we do not warrant that descriptions, images, pricing, or other content on the Site is error-free
• In the event of a pricing error, we reserve the right to cancel any affected orders

5. FFL Transfers

Apex Firearms offers FFL transfer services for firearms purchased from third-party retailers. The following terms apply:

• Transfer fee: $35 per serial number
• All transfers require completion of ATF Form 4473 and a successful NICS background check
• You must present a valid government-issued photo ID at the time of transfer
• Firearms shipped to us must include the sender's FFL or a copy of the buyer's valid ID
• Transfers must comply with all federal, state, and local regulations
• We reserve the right to refuse any transfer at our discretion
• Unclaimed firearms will be held for 90 days; after that period, additional storage fees may apply or the firearm may be returned to sender at the buyer's expense

Our FFL number is 5-76-361-01-7M-08573. Third-party sellers may request this for shipping purposes.

6. Consignment Sales

Apex Firearms offers consignment services for individuals wishing to sell their firearms. Terms:

• Commission rate: 20% flat fee on the final sale price
• Apex Firearms handles all photography, listing, and legal transfer paperwork
• All consignment sales are subject to applicable federal and state laws, including background check requirements for the buyer
• Consigned firearms remain the property of the consignor until sold
• We reserve the right to refuse consignment of any firearm at our discretion
• Consignment agreements may be terminated by either party with written notice

7. Payment Terms

• Pay in Store: Full payment is collected at the time of in-store pickup. We accept cash, credit/debit cards, and checks
• Card on File: You may optionally provide a credit or debit card to secure your reservation. Your card will not be charged without your explicit consent. Providing a card on file gives your reservation priority processing
• All sales are final once the firearm has been transferred. No refunds on completed firearm transfers
• Refunds for accessories and non-firearm items may be issued within 14 days of purchase with the item in original condition

8. Background Checks & Compliance

As a Federal Firearms Licensee, Apex Firearms is required by law to:

• Conduct a NICS (National Instant Criminal Background Check System) background check on all firearm purchasers and transferees
• Require completion of ATF Form 4473 for every firearm transaction
• Verify the identity of all buyers with a valid government-issued photo ID
• Refuse any sale or transfer where the background check results in a denial or if the buyer is otherwise prohibited
• Maintain all required records in accordance with ATF regulations (27 CFR Part 478)

Texas residents with a valid License to Carry (LTC) may be exempt from the NICS check at the time of transfer, as permitted by federal and state law.

9. Prohibited Uses

You agree not to use the Site to:

• Purchase or attempt to purchase firearms on behalf of another person (straw purchases are a federal felony under 18 U.S.C. § 922(a)(6))
• Provide false, misleading, or fraudulent information
• Violate any federal, state, or local law or regulation
• Circumvent age verification or eligibility requirements
• Interfere with or disrupt the Site's operation or security
• Engage in any activity that could harm Apex Firearms, our customers, or third parties

10. Intellectual Property

All content on this Site — including text, images, logos, graphics, and software — is the property of Apex Firearms, LLC or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. APEX FIREARMS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APEX FIREARMS, LLC, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Apex Firearms, LLC, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any applicable law.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Orange County, Texas.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
